MaxProtocol Terms of Service

1. Introduction

1.1. General provisions

These Terms (the "Terms") are a legal agreement between MaxProtocol ("we", "us", "our") and you ("you", the "User" or the "Customer"). The Terms govern access to and use of our services, including the software, the website and any other services provided under the MaxProtocol brand (the "Services").

1.2. Acceptance

By using the MaxProtocol website, registering or using our services, you agree to these Terms. If you do not accept them, please do not use our Services.

1.3. Authority

If you represent a legal entity, you warrant that you are authorised to enter into these Terms on behalf of that organisation.

1.4. Non-consumer use

Our Services are intended for organisations and entrepreneurs. Consumer protection rules do not apply.

1.5. Restrictions

You may not use the Services:

  • to compete with us, or to gather information for competitive purposes;
  • if we have restricted your access;
  • to break the law, or as a platform for unlawful activity.

2. Use of the Services and support

2.1. Right to use

For the duration of your subscription period you receive a limited, non-exclusive, non-transferable right to use the Services in accordance with the MaxProtocol documentation.

2.2. Technical support

We provide technical support to account administrators. You are responsible for managing your users and for the security of their access.

2.3. Customer obligations

The User undertakes to:

  • pay for the services on time;
  • keep accounts and passwords secure;
  • comply with applicable law and with these Terms.

2.4. Prohibited use

The User may not:

  • resell access;
  • circumvent software restrictions;
  • use the system for malicious activity;
  • scan the network without MaxProtocol consent.

2.5. Compliance with the law

You must use the Services in full compliance with applicable law.

2.6. Sanctions and export

The Customer confirms that it is not subject to sanctions and does not transfer technology to prohibited jurisdictions. A breach may result in immediate disconnection.

3. Intellectual property

3.1. Ownership

All rights in the software and the website belong to MaxProtocol or its licensors.

3.2. Licence

We grant a non-transferable licence for use of the Services only.

3.3. No transfer of rights

No rights in the source code or any other product are transferred to you.

3.4. Trademarks

You grant us the right to use your name and logos to showcase customers (for example, in case studies).

3.5. Feedback

Any feedback becomes our intellectual property without compensation.

4. Third-party services

If we receive a legal request, we may notify you or redirect the request to you directly.

4.2. Integrations

If you use third-party services (for example, Google Cloud), you are responsible for their security and availability.

4.3. Third-party providers

We are not responsible for the acts of infrastructure providers, library authors and the like.

5. Term and termination

5.1. Term

The Terms apply from acceptance until the subscription ends, unless terminated earlier.

5.2. Automatic renewal

The subscription renews for the same period unless you cancel it.

6. Termination and suspension of access

6.1. Suspension and termination by MaxProtocol

We may terminate or suspend access:

  • for non-payment (more than 90 days);
  • for a breach;
  • where required by law;
  • at our discretion, with a partial refund;
  • without notice in the event of a serious breach.

6.2. Cancellation by the customer

You can turn off automatic renewal in your account. Access continues until the end of the paid period; no refund is issued.

6.3. Termination by either party

Either party may terminate the agreement for a material breach, on 30 days' notice.

6.4. Consequences

On termination: rights to the Services are revoked, data is erased (unless the law requires otherwise), and the provisions on confidentiality, liability and others remain in force.

7. Confidentiality

7.1. Definition

Confidential information includes everything non-public received in the course of the relationship.

7.2. Obligations

The recipient undertakes to keep such data secret and not to disclose it to third parties.

7.3. Exceptions

Information that is already public, was lawfully obtained from third parties, or is disclosed as required by law is not treated as confidential.

8. Disclaimer of warranties

The Services are provided "as is". We do not warrant uninterrupted operation, configuration for every possible customer, or freedom from errors. We are not responsible for use on compromised devices.

9. Limitation of liability

9.1. Acknowledged risks

You acknowledge the risks involved in using internet services.

9.2. Excluded liability

We are not liable for indirect or punitive damages, or for lost profit.

9.3. Liability cap

Total liability does not exceed the amount you paid over the last 12 months (or the equivalent of a nominal amount if the service is free).

10. Indemnification

10.1. By you

You will compensate us for any losses caused by your breach of the Terms.

10.2. By us

We will compensate you in the event of a proven infringement of third-party rights by our technology, but the amount will not exceed the cap set out above.

10.3. Procedure

The parties must notify each other of claims promptly and cooperate in resolving them.

11. Miscellaneous

11.1. Governing law and disputes

You will compensate us for any losses caused by your breach of the Terms.

11.2. Changes

We may change the Terms with advance notice to you. Changes apply to future periods.

11.3. Notices

Notices are sent by email or to the address given in your account.

11.4. System requirements

You must provide the technical setup needed to use the Services.

11.5. Conduct

We expect respectful communication. Access may be restricted in the event of threats or abuse.

11.6. Acknowledgement of the limits

You agree that without the limits set out above the price of the Services would be higher.

11.7. Data processing

You must obtain your users' consent to the processing of personal data. If GDPR or comparable legislation applies to you, our Privacy Policy and data processing agreement apply.
